PLEASE READ THIS UNIVERSAL TERMS OF SERVICE AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES.
1. OVERVIEW
This Universal Terms of Service Agreement (this “Agreement”) is entered into by and between Blank Page (“Blank Page”) and you and is made effective as of the date of your use of this website (“Site”) or the date of electronic acceptance. This Agreement sets forth the general terms and conditions of your use of the Site and the products and services purchased or accessed through this Site (individually and collectively, the “Services”). Services Agreements and additional policies apply to certain Services and are in addition to (not in lieu of) this Agreement. In the event of a conflict between the provisions of a Services Agreement and the provisions of this Agreement, the provisions of the applicable Services Agreement shall control.
The terms “we”, “us” or “our” shall refer to Blank Page. The terms “you”, “your”, “User” or “customer” shall refer to any individual or entity who accepts this Agreement, has access to your account or uses the Services. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
2. MODIFICATION OF AGREEMENT, SITE OR SERVICES
Blank Page may, in its sole and absolute discretion, change or modify this Agreement, and any policies or agreements which are incorporated herein, at any time, and such changes or modifications shall be effective immediately upon posting to this Site. Your use of this Site or the Services after such changes or modifications have been made shall constitute your acceptance of this Agreement as last revised. If you do not agree to be bound by this Agreement as last revised, do not use (or continue to use) this Site or the Services. In addition, Blank Page may occasionally notify you of changes or modifications to this Agreement by email. It is therefore very important that you keep your shopper account (“Account”) information current. Blank Page assumes no liability or responsibility for your failure to receive an email notification if such failure results from an inaccurate email address. In addition, Blank Page may terminate Your use of Services for any violation or breach of any of the terms of this Agreement by You. BLANK PAGE RESERVES THE RIGHT TO MODIFY, CHANGE, OR DISCONTINUE ANY ASPECT OF THIS SITE OR THE SERVICES, INCLUDING WITHOUT LIMITATION PRICES AND FEES FOR THE SAME, AT ANY TIME.
3. ELIGIBILITY; AUTHORITY
This Site and the Services are available only to individuals (“Users”) who can form legally binding contracts under applicable law. By using this Site or the Services, you represent and warrant that you are (i) at least eighteen (18) years of age, (ii) otherwise recognized as being able to form legally binding contracts under applicable law, or (iii) are not a person barred from purchasing or receiving the Services found under the laws of the State of Israel or other applicable jurisdiction.
If you are entering into this Agreement on behalf of a corporate entity, non-profit organization, or legal association (e.g., Amutah / Χ’”Χ¨), you represent and warrant that you have the legal authority to bind such entity to the terms and conditions contained in this Agreement, in which case the terms “you”, “your”, “User” or “customer” shall refer to such entity. If, after your electronic acceptance of this Agreement, Blank Page finds that you do not have the legal authority to bind such corporate entity, you will be personally responsible for the obligations contained in this Agreement, including, but not limited to, the payment obligations. Blank Page shall not be liable for any loss or damage resulting from Blank Page’s reliance on any instruction, notice, document or communication reasonably believed by Blank Page to be genuine and originating from an authorized representative of your corporate entity.
4. YOUR ACCOUNT
In order to access some of the features of this Site or use some of the Services, you will have to create an Account. You represent and warrant to Blank Page that all information you submit when you create your Account is accurate, current and complete, and that you will keep your Account information accurate, current and complete. If Blank Page has reason to believe that your Account information is untrue, inaccurate, out-of-date or incomplete, Blank Page reserves the right, in its sole and absolute discretion, to suspend or terminate your Account.
You are solely responsible for the activity that occurs on your Account, whether authorized by you or not, and you must keep your Account information secure, including without limitation your customer number/login, password, Payment Method(s), and shopper PIN. You must notify Blank Page immediately of any breach of security or unauthorized use of your Account. Blank Page will not be liable for any loss you incur due to any unauthorized use of your Account. You, however, may be liable for any loss Blank Page or others incur caused by your Account.
5. ACCOUNT, ASSET & SERVICE OWNERSHIP TRANSFERS
5.1 Definition of Account & Registered Asset Ownership: The legal owner of an Account, domain name, hosting instance, or service asset is deemed to be the individual or legal entity listed in Blank Page’s records as the primary Account Holder or Registered Holder.
5.2 Strict Requirements for Change of Ownership: To request a transfer of technical management, account ownership, domain registration, or service access to a new individual, entity, or officer, Blank Page requires strict compliance with the following verification protocol:
- Written Transfer Authorization: An official written request signed by the currently registered Account Holder / Registered Domain Holder.
- Official Entity & Identity Documentation:
- For Individuals: Government-issued photo identification (ID / Passport / Driver’s License) of both the current owner and the designated recipient.
- For Corporate Entities / Non-Profits (e.g., Amutah / Χ’”Χ¨): Official registration documents (e.g., Certificate of Incorporation, Form 580224863), together with an official board resolution or corporate officer letter authorizing the transfer.
- Power of Attorney & Legal Affidavit: To execute a change of ownership, Blank Page requires an official, notarized Power of Attorney (ΧΧΧ€ΧΧ ΧΧΧ) and/or a legal affidavit (ΧͺΧ¦ΧΧΧ¨ ΧΧ©Χ€ΧΧ ΧΧͺΧΧ ΧΧΧΧΧΧͺ Χ’”Χ Χ’Χ”Χ / Χ ΧΧΧ¨ΧΧΧ) certified by a licensed attorney. This documentation must explicitly prove current ownership, verify the identity of the parties, and confirm the legal authority of the requesting party to execute the transfer on behalf of the registered owner or corporate entity.
5.3 Technical vs. Financial Ownership Transfer:
- Technical Ownership Transfer: Authorizes the designated technical administrator to manage web files, CMS credentials, server controls, and technical settings.
- Financial & Accounting Ownership Transfer: Reassigns billing, invoice, and payment obligations. Transferring technical ownership does NOT automatically transfer financial or accounting ownership. The financial account remains under the original billing contact until the new financial owner provides verified contact information (Full Name, Email, Phone Number) and sets up a valid, working payment method on the account.
5.4 Reservation of Rights & Verification Holds: Blank Page reserves the right, in its sole and absolute discretion, to reject, delay, or place a hold on any ownership transfer request if documentation is incomplete, unverified, or subject to conflicting claims. Blank Page shall bear no liability for any delays, service suspensions, or business interruptions arising from an unverified or disputed ownership transfer request.
6. GENERAL RULES OF CONDUCT
You acknowledge and agree that:
- Your use of this Site and the Services, including any content you submit, will comply with this Agreement, any applicable Services Agreement or policy that may apply to your Services and all applicable local, national and international laws, rules and regulations.
- You will not collect or harvest (or permit anyone else to collect or harvest) any User Content or any non-public or personally identifiable information about another User or any other person or entity without their express prior written consent.
- You will not use this Site or the Services in a manner that is illegal, promotes or encourages illegal activity, infringes on intellectual property rights, violates privacy rights, or interferes with the operation of this Site or the Services.
- You will not use this site to violate applicable pharmaceutical distribution laws, or promote/engage in the sale of prescription medication without a valid prescription.
- You will not use this site to violate applicable anti-prostitution and anti-sex trafficking legislation.
- You will not contain or install any viruses, worms, bugs, Trojan horses or other code, files or programs designed to, or capable of, disrupting, damaging or limiting the functionality of any software or hardware.
- You will not copy or distribute in any medium any part of this Site or the Services, except where expressly authorized by Blank Page.
- You agree to back-up all of your User Content so that you can access and use it when needed. Blank Page does not warrant that it backs-up any Account or User Content, and you agree to accept as a risk the loss of any and all of your User Content.
- You will not re-sell or provide the Services for a commercial purpose without Blank Page’s express prior written consent.
- You agree to provide government-issued photo identification and/or government-issued business identification as required for verification of identity when requested.
The Customer is obligated to check and comply with the legal provisions arising from the use of the contractually agreed services, including telecommunications, telemedia, data privacy, accessibility, and national/international copyright laws. The Customer indemnifies Blank Page against all claims of third parties arising from infringements of these obligations.
7. PROTECTION OF YOUR DATA
Blank Page offers certain hosted Services available to you that may involve the submission, collection and/or use of personally identifying or identifiable information about you and your own customers (“Your Data”) in the course of your use of these Services. Blank Page’s Data Processing Addendum (“DPA”), which is hereby incorporated by reference, is meant to provide contractual assurance that we ensure the transfer and processing of Your Data meets compliance under applicable data privacy laws (including GDPR and Israeli Privacy Protection Regulations).
8. USER CONTENT
Some features of this Site or the Services may allow Users to view, post, publish, share, store, or manage ideas, opinions, recommendations, or other literary, artistic, or musical content (“User Content”). All content submitted through your Account is considered User Content. By posting or publishing User Content, you represent and warrant to Blank Page that (i) you have all necessary rights to distribute User Content, and (ii) the User Content does not violate the rights of any third party.
You grant Blank Page a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and Blank Page’s business.
9. AVAILABILITY OF SERVICES & CLOUD INFRASTRUCTURE (MAJOR PROVIDER STANDARDS)
9.1 Service Availability: Subject to the terms and conditions of this Agreement, we shall use commercially reasonable efforts to attempt to provide this Site and the Services on a twenty-four (24) hours a day, seven (7) days a week basis. You acknowledge and agree that from time to time this Site or Services may be inaccessible or inoperable for any reason including, but not limited to, equipment malfunctions; periodic maintenance, repairs or replacements; or causes beyond our reasonable control.
9.2 Upstream Third-Party Cloud Infrastructure: Certain Services provided by Blank Page rely on upstream, third-party cloud infrastructure providers, global Edge networks, Web Application Firewalls (WAF), container platforms, and external software licensing. You explicitly acknowledge and agree that:
- Your hosting ecosystem operates within an automated multi-tenant or managed cloud environment subject to the programmatic resource allocations and billing schedules of these upstream providers.
- Upstream cloud providers enforce strict, automated licensing and node termination rules upon non-payment or subscription expiration.
- Blank Page cannot override automated third-party cloud infrastructure shutdowns. Consequently, no manual grace periods, extension holds, or temporary service waivers can be granted for expired, unpaid, or under-funded accounts. Suspensions and license revocations take effect automatically upon subscription expiration.
10. PRODUCT CREDITS
In the event you are provided with a product credit (“Credit”), such Credit is only valid for one (1) year and is only available with a valid purchase. The Credit will expire one (1) year from the date of purchase if unredeemed. If redeemed, the product will automatically renew at the then-current renewal price until cancelled.
11. MONITORING OF CONTENT; TERMINATION & POST-SUSPENSION PURGE POLICY
11.1 Monitoring and Termination: Blank Page reserves the right (but undertakes no duty) to pre-screen User Content and decide whether any item is appropriate or complies with this Agreement. Blank Page may remove any User Content and/or terminate a User’s access to the Services for violating this Agreement at any time and without prior notice.
11.2 Automated Cloud Suspension Profile (Day 0): Upon subscription expiration, payment charge failure, or account cancellation, all cloud services, server instances, Edge WAF routing, managed WordPress installs, staging sites, access panels, database query access, and compliance log trackers go offline immediately.
11.3 Seven (7) Day Data Retention Window: Following account or service suspension for non-payment, Blank Page will retain server disk snapshots, databases, consent logs, and website files in an isolated retention state for a strict maximum of seven (7) calendar days following the expiration date. During this 7-day period, the account may be restored only upon full settlement of all past-due balances and applicable reactivation fees.
11.4 Permanent Programmatic Data Purge (Post Day 7): If full payment and applicable reactivation fees are not cleared within the strict 7-day retention window, Blank Page will programmatically delete, wipe, and purge all server volumes, databases, website files, SSL certificates, DNS zone entries, and consent/accessibility logs from all cloud nodes and backup systems. Pursuant to major cloud provider infrastructure protocols, purged data is permanently destroyed and completely non-recoverable. Blank Page assumes zero liability for data destruction, loss of business records, or loss of historical content resulting from post-suspension purges.
12. DISCONTINUED SERVICES; END OF LIFE POLICY
Blank Page reserves the right to cease offering or providing any of the Services at any time, for any or no reason, and without prior notice. In the event a Service reaches End-of-Life (“EOL”), Blank Page will attempt to notify you thirty (30) or more days in advance. It is your responsibility to migrate to a new Service prior to the EOL date. Blank Page will not be liable to you or any third party for any modification, suspension, or discontinuance of any Services.
13. BETA SERVICES
From time to time, Blank Page may offer new “Beta Services”. Beta Services are provided “as is”, “as available”, and “with all faults” for testing purposes only. Blank Page does not recommend using Beta Services in production environments.
14. FEES AND PAYMENTS
(A) GENERAL TERMS, INCLUDING AUTOMATIC RENEWAL TERMS
- Payment Due at Time of Order; Non-Refundable: You agree to pay all amounts due for Services at the time you order them. All amounts are non-refundable unless otherwise noted.
- Price Changes: Blank Page reserves the right to change its prices and fees at any time, effective immediately upon posting online.
- Automatic Renewal: IN ORDER TO ENSURE THAT YOU DO NOT EXPERIENCE AN INTERRUPTION OR LOSS OF SERVICES, ALL SERVICES ARE OFFERED ON AUTOMATIC RENEWAL. RENEWAL FEES WILL BE CHARGED TO THE PRIMARY OR BACKUP PAYMENT METHOD ON FILE AT THEN-CURRENT RATES. IF YOU FAIL TO MANUALLY RENEW OR IF AUTOMATIC RENEWAL FAILS, YOUR SERVICES WILL BE SUSPENDED UPON EXPIRATION, AND BLANK PAGE SHALL NOT BE LIABLE FOR ANY LOSS REGARDING THE SAME.
- Payment Failure Remedies: If Blank Page is unable to charge your Payment Method, or receives a chargeback/dispute, Blank Page may pursue all lawful remedies, including immediate cancellation of domain names and cloud services.
- Administrative & Reactivation Fees: Blank Page reserves the right to charge reasonable administrative fees for customer non-compliance, payment processing failures, or manual technical intervention. In the event an account or service is suspended due to non-payment, card failure, or breach of terms, Blank Page reserves the right to charge a mandatory Service Reactivation / Redemption Fee of NIS 100 in addition to the full renewal balance prior to restoring service.
(B) REFUND POLICY Products and Services purchased from Blank Page are subject to our general non-refundable policy unless explicitly stated in a specific Service Agreement.
(C) GOOD AS GOLD PREPAID SERVICES Users may fund a “Good As Gold” prepaid account via wire transfer (minimum initial deposit determined by Blank Page). Wire transfer fees are the responsibility of the client. Funds transferred to your Good As Gold Account will be held by Blank Page in New Israeli Shekels (NIS) unless otherwise designated.
(D) PAY BY CHECK / BANK TRANSFER (ELECTRONIC PAYMENT) Electronic bank transfers or checks from valid bank checking accounts are processed according to Israeli banking standards. Returned or declined bank transfers are subject to legal collection charges and service fees as permitted by Israeli law.
(E) INTERNATIONAL PAYMENT OPTIONS Blank Page offers international payment options through International Payment Providers (“IPP”). You agree to allow the IPP to debit the full amount of your purchase including exchange rate conversion fees.
(F) IN-STORE CREDIT BALANCES In-store credit balances may be applied to future purchases or renewals. Complimentary credits expire two (2) years after issuance. Unclaimed credit balances on inactive accounts may be subject to dormancy charges.
(G) EXPIRED DOMAIN NAME PURCHASES For expired domain names purchased through your account, you are responsible for payment within forty-eight (48) hours of auction close.
15. ADDITIONAL RESERVATION OF RIGHTS
Blank Page expressly reserves the right to deny, cancel, terminate, suspend, lock, or modify access to (or control of) any Account or Services for any reason in its sole discretion, including: (i) to correct mistakes; (ii) to protect server integrity and stability; (iii) to comply with court orders, subpoenas, or law enforcement requests; (iv) to defend legal actions; or (v) to respond to excessive complaints that could damage Blank Page’s operations or reputation.
16. NO SPAM; LIQUIDATED DAMAGES
Blank Page strictly prohibits unsolicited commercial email (spam). If Blank Page determines an account is connected with spam, it may suspend or cancel the account and require a non-refundable reactivation fee. Liquidated damages of NIS 5 (or higher as permitted by Israeli law) per piece of spam transmitted may be assessed.
17. TRADEMARK AND/OR COPYRIGHT CLAIMS
Blank Page supports the protection of intellectual property. Claims regarding trademark or copyright infringement must be submitted directly to the Blank Page Legal Department in accordance with Israeli copyright legislation.
18. LINKS TO THIRD-PARTY WEBSITES
This Site and the Services found at this Site may contain links to third-party websites that are not owned or controlled by Blank Page. Blank Page assumes no responsibility for the content, terms, or practices of any third-party websites.
19. DISCLAIMER OF REPRESENTATIONS AND WARRANTIES
YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THIS SITE AND THE SERVICES SHALL BE AT YOUR OWN RISK AND THAT THIS SITE AND THE SERVICES ARE PROVIDED “AS IS”, “AS AVAILABLE” AND “WITH ALL FAULTS”. BLANK PAGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, STATUTORY, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
20. LIMITATION OF LIABILITY (EXPANDED CLOUD & DATA PROTECTION)
IN NO EVENT SHALL BLANK PAGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND THIRD-PARTY SERVICE PROVIDERS BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING ANY RESULTING FROM:
- THE ACCURACY, COMPLETENESS, OR CONTENT OF THIS SITE OR LINKED SITES.
- THE SERVICES FOUND AT THIS SITE OR LINKED SITES.
- PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER.
- THIRD-PARTY CONDUCT OF ANY NATURE WHATSOEVER.
- UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY DATA STORED THEREIN.
- ANY INTERRUPTION OR CESSATION OF SERVICES.
- ANY VIRUSES, WORMS, BUGS, OR TROJAN HORSES TRANSMITTED TO OR FROM THIS SITE.
- LOSS OF DATA OR LOGS: PERMANENT PURGING AND DESTRUCTION OF WEBSITE FILES, DATABASES, CONSENT LOGS, ACCESSIBILITY SETTINGS, OR CONFIGURATIONS FOLLOWING UNPAID SUSPENSIONS.
- BUSINESS & COMPLIANCE IMPACT: LOSS OF BUSINESS REVENUE, DONATIONS, BRAND REPUTATION, SEARCH ENGINE INDEXING (SEO) PENALTIES, OR REGULATORY COMPLIANCE FINES (INCLUDING COOKIE CONSENT AND DIGITAL ACCESSIBILITY NON-COMPLIANCE) ARISING FROM SERVICE DISRUPTION, SUSPENSION, OR DATA PURGING.
IN ADDITION, YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT IN NO EVENT SHALL BLANK PAGE’S TOTAL AGGREGATE LIABILITY EXCEED 40,000 NIS (OR THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE IN THE PRECEDING 12 MONTHS, WHICHEVER IS LESS).
21. INDEMNITY
You agree to protect, defend, indemnify and hold harmless Blank Page and its officers, directors, employees, agents, and third-party service providers from and against any and all claims, demands, costs, expenses, losses, liabilities and damages (including reasonable attorneys’ fees) arising from (i) your use of the Services; (ii) your violation of any provision of this Agreement; and/or (iii) your violation of any third-party right.
22. COMPLIANCE WITH LOCAL LAWS
Blank Page makes no representation that the content available on this Site or the Services are appropriate in every country or jurisdiction. Users who choose to access the Services are responsible for compliance with all local laws, rules, and regulations of the State of Israel and their respective jurisdictions.
23. DISPUTES, GOVERNING LAW, AND EXCLUSIVE JURISDICTION
THIS AGREEMENT SHALL BE GOVERNED BY, CONSTRUED, AND ENFORCED EXCLUSIVELY IN ACCORDANCE WITH THE LAWS OF THE STATE OF ISRAEL, WITHOUT REGARD TO CONFLICT OF LAW PRINCIPLES. ANY LEGAL ACTION, DEMAND, SUIT, OR PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES SHALL BE BROUGHT EXCLUSIVELY BEFORE THE COMPETENT COURTS LOCATED IN ASHDOD OR TEL AVIV, ISRAEL. EACH PARTY IRREVOCABLY SUBMITS TO THE EXCLUSIVE JURISDICTION OF SUCH COURTS AND WAIVES ANY OBJECTION BASED ON IMPROPER VENUE OR FORUM NON CONVENIENS.
By utilizing the Services, you expressly waive the right to seek dispute resolution through international arbitration, class action lawsuits, or courts in any foreign jurisdiction outside the State of Israel.
24. UNCLAIMED PROPERTY; DORMANCY CHARGES
If a customer has an outstanding positive account balance for three (3) years or more, Blank Page may withhold a dormancy charge equal to the lesser of 100 NIS or the total outstanding balance, and turn over any remaining balance in accordance with applicable Israeli law.
25. SUCCESSORS AND ASSIGNS
This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors and assigns.
26. NO THIRD-PARTY BENEFICIARIES
Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
27. ISRAELI AND INTERNATIONAL EXPORT LAWS
This Site and the Services are subject to the export laws, restrictions, regulations, and administrative acts of the State of Israel, including the Ministry of Economy and Industry and the Ministry of Defense. Users shall not export or re-export any Services in violation of applicable Israeli trade sanctions, arms export control acts, or international embargo lists. By using the Services, you represent that you are not located in, under the control of, or a national or resident of any restricted or boycotted country under Israeli law.
28. TITLES AND HEADINGS; SEVERABILITY
The titles and headings of this Agreement are for convenience only. If a court of competent jurisdiction holds any provision of this Agreement to be illegal, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.
29. LANGUAGE CONTROLS
This Agreement is executed in the English language. To the extent any Hebrew translation or other language translation is provided, it is for convenience only, and the English version shall control in the event of a dispute, unless explicitly required otherwise by Israeli consumer law.
