Hosting Agreement

PLEASE READ THIS AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES.

1. DESCRIPTION OF SERVICES

We offer varying Hosting Services, Cloud Infrastructure, and Support plans:

  • Web Hosting: Web Hosting plans place your site within one or more servers. Resources are shared between many customers on the same servers; however, your site is given a unique DNS routing address.

  • Business Hosting: Managed Business Hosting plans provide the performance of virtual or dedicated server environments, but we manage the server infrastructure for you, including setting up control panels, patching cycles, and backup routines.

  • Managed WordPress Hosting: Managed WordPress Hosting plans give you a streamlined and optimized environment to build and manage WordPress sites. We handle core hosting administrative tasks, including: installing WordPress, automated daily backups, WordPress core updates, and server-level caching.

  • Virtual Private Server ("VPS"): VPS plans place your site within a virtualized instance shared with other customers, but you retain full administrative control over your server space and configuration. You are granted administrative (root) access and a dedicated IP address.

  • Dedicated Cloud Services / Dedicated Resource Pools: High-performance cloud infrastructure provisioning dedicated, unshared CPU, RAM, and IOPS resources. Unlike standard VPS or shared cloud nodes, dedicated cloud instances guarantee resource availability without "noisy neighbor" interference, while retaining cloud elasticity, programmatic scaling, and high-availability failover architecture.

  • Dedicated Server: Dedicated Server plans reserve an entire physical server hardware exclusively for your account. Your physical server is not shared with any other customer.

  • Managed Support: Monthly subscription plans that provide root/administrative access alongside control panel access (Plesk or cPanel). We handle core system patching, server security, monitoring, and backups. Additional custom configurations can be performed for an additional fee.

  • Fully Managed Support: Monthly subscription plans providing administrative access where we manage core security, patching, system monitoring, backups, and include designated Expert Services.

  • Hosting Premium Support / Expert Services: Custom, specialized technical support services available for a set fee. Expert Services assist with complicated administrative tasks, including: database optimization, advanced firewall configuration, malware remediation, or site migrations.

  • Hosting Backup & Compliance Logging: Automated backup and compliance storage services that back up website files, databases, and consent/accessibility compliance logs to secure cloud storage.

2. ACCOUNT TERMINATION, CANCELLATION & DATA PURGE POLICY

2.1 Migration of Servers & Cloud Nodes: You acknowledge and agree that as a normal course of infrastructure management, it may be necessary for us to migrate servers, virtual instances, or cloud nodes. As a result, even if you have a dedicated IP, you may be assigned a different IP address. We do not warrant that you will consistently maintain the same IP addresses.

2.2 Third-Party Cloud Infrastructure & Absence of Grace Period: Services provided by Blank Page rely on upstream, automated cloud infrastructure networks, Edge WAF platforms, and software licensing nodes. Because upstream cloud providers enforce strict automated billing schedules, no grace periods, extension holds, or temporary service waivers can be granted for expired or unpaid hosting subscriptions. Suspensions execute automatically upon subscription expiration.

2.3 Immediate Suspension Profile (Day 0): Upon subscription expiration or payment failure, all hosting accounts, dedicated cloud instances, Edge WAF networks, FTP channels, database queries, and managed WordPress environments go offline immediately.

2.4 Seven (7) Day Retention Window & NIS 100 Reactivation Fee: Following service suspension for non-payment, Blank Page will retain website files, database snapshots, and compliance logs in an isolated retention state for a strict maximum of seven (7) calendar days. To restore suspended services during this window, the customer must:

  1. Settle all outstanding past-due subscription balances in full.

  2. Pay a mandatory Service Reactivation / Redemption Fee of NIS 100.

2.5 Permanent Programmatic Data Purge (Post Day 7): If full payment and reactivation fees are not cleared within seven (7) days, Blank Page will programmatically wipe, purge, and permanently delete all website content, cloud volumes, databases, SSL certificates, DNS zone files, and compliance logs from all cloud servers and backup nodes. Once purged, data is permanently destroyed and non-recoverable. Blank Page will not transfer or FTP content off servers for unpaid or terminated accounts.

3. ACCOUNT, ASSET & SERVICE OWNERSHIP TRANSFERS

3.1 Legal Ownership Standard: The legal owner of any hosting account, cloud instance, domain name, or managed service is the individual or legal entity listed in Blank Page's records as the primary Account Holder or Registered Holder.

3.2 Strict Verification Protocol for Change of Ownership: To request a transfer of technical management, account ownership, hosting access, or domain assets to a new party or officer, Blank Page enforces strict compliance with the following protocol:

  1. Written Transfer Request: An official written request signed by the currently registered Account Holder / Registered Holder.

  2. Identity & Corporate Legal Documentation: Valid government-issued photo ID of both parties, and for corporate entities/associations (Amutah / ע"ר), official registration documents (e.g., Form 580224863) with a board resolution.

  3. Power of Attorney & Legal Affidavit: To execute a change of ownership, Blank Page requires an official, notarized Power of Attorney (ייפוי כוח) and/or a legal affidavit (תצהיר משפטי חתום ומאומת ע"י עו"ד / נוטריון) certified by a licensed attorney.

3.3 Technical vs. Financial Ownership Transfer:

  • Technical Ownership Transfer: Grants technical permission to manage site files, database credentials, server settings, and CMS accounts.

  • Financial Ownership Transfer: Reassigns billing, invoice, and payment responsibilities. Transferring technical ownership does NOT transfer financial ownership.

4. YOUR OBLIGATIONS; ACCEPTABLE USE & SECURITY

4.1 IP Justification & Ownership Rights: You acknowledge and agree that we have the right to seek justification regarding your purchase and allocation of IP addresses. IP addresses assigned to you remain the sole property of Blank Page or its upstream registries (RIPE NCC). Account termination or cancellation immediately revokes all rights to use assigned IP addresses.

4.2 Prohibited Abusive Activities: You may not use our servers or your website as a source, intermediary, or destination for mail bombs, packet flooding, denial of service (DoS/DDoS) attacks, server hacking, crypto-mining, anonymous relays, or vulnerability probing. Running recursive public DNS services, BitTorrent trackers, bulk SMS gateways, or malicious software is strictly prohibited.

4.3 DDoS Traffic Null-Routing & Mitigation:

In the event your cloud instance or website becomes the target of a Distributed Denial of Service (DDoS) attack that threatens the operational stability of our network or other tenants, Blank Page reserves the right to immediately null-route, sinkhole, or drop incoming network traffic to your account without prior notice.

4.4 Storage, Security & Backups: You are solely responsible for: (1) maintaining independent archival and off-site backup copies of your website files and databases; (2) ensuring the confidentiality of access credentials; and (3) taking necessary measures to prevent loss or damage to your content. Our hosting servers are not an archive, and Blank Page assumes no liability for content loss or corruption.

4.5 Notice and Takedown Protocol (Israeli Copyright Law - הודעה והסרה):

Upon receiving a formal written notification alleging copyright or trademark infringement complying with Israeli law (הודעה והסרה), Blank Page reserves the right to temporarily lock or remove the infringing material without liability, pending legal clarification.

5. PROVISIONS SPECIFIC TO WEB, BUSINESS AND MANAGED WORDPRESS HOSTING

5.1 Storage & Resource Plan Limits:

  • Inode & File Limits: Linux® shared hosting accounts are limited to 250,000 inodes. Windows® hosting accounts are limited to 500,000 files and folders.

  • Database Limits: Databases are limited to 1,000 tables and 1 GB of storage per database.

  • WordPress Restrictions: Managed WordPress Hosting may only be used to host WordPress websites (one WordPress installation per site). Non-WordPress sites hosted on WordPress plans are subject to removal or suspension.

5.2 Prohibited Website Content: Hosted accounts may not contain: (1) anonymous image upload scripts; (2) commercial banner ad rotation networks; (3) anonymous file dump/mirror scripts; (4) commercial audio/video streaming hubs; (5) bulk SMS or email push-button gateways; (6) off-site computer backup storage repositories; (7) BitTorrent trackers; or (8) any script causing server degradation.

6. PROVISIONS SPECIFIC TO DEDICATED CLOUD SERVICES, VPS, AND DEDICATED HOSTING

6.1 Cloud Elasticity & Auto-Scaling Limitations:

For clients utilizing Dedicated Cloud Services, resources (CPU, RAM, block storage) are dedicated to your instance. However, unless you have explicitly configured and funded an auto-scaling environment, your cloud instance is bound by the strict limits of your purchased plan. Blank Page is not liable for service degradation, downtime, or database corruption resulting from traffic spikes that exhaust your purchased dedicated cloud limits.

6.2 Hardware vs. Virtual Isolation (Dedicated Cloud vs. Bare Metal):

You acknowledge that "Dedicated Cloud Services" allocate dedicated compute resources within a virtualized hypervisor environment. While resources are shielded from "noisy neighbors", the underlying physical hardware is maintained by Blank Page or its upstream providers. If you require absolute physical isolation, you must purchase a Bare-Metal "Dedicated Server" plan.

6.3 "Noisy Neighbor" & Resource Throttling (For VPS Plans): If your VPS instance consumes an excessive volume of server resources (including CPU, RAM, IOPS, or network throughput) that causes degradation for other users on shared infrastructure, Blank Page reserves the right to immediately throttle, isolate, or temporarily suspend your account until you upgrade to a Dedicated Cloud or Dedicated Server plan.

6.4 Server Access & IP Utilization: For managed services or add-ons, you authorize us to log into your virtual, cloud, or dedicated server to configure software, patch operating systems, or perform security maintenance. You must utilize at least 90% of assigned IP addresses within 30 days of allocation, or unused IPs may be reclaimed.

6.5 Managed Support, Expert Services & Migrations: Technical support for managed servers includes core operating system updates and restoring supported applications to their default clean state. Customized support tasks falling outside standard managed plans are billed as Expert Services. Expert Services fees are non-refundable. Hosting migrations provided by Blank Page are offered as a courtesy service; we make no guarantees regarding the time required or availability of migrations.

7. SERVICE UPTIME GUARANTEE & DISCLAIMER OF HIGH-RISK USE

7.1 Service Uptime Guarantee: We offer a monthly Service Uptime Guarantee of 99% of available time. If we fail to maintain this uptime guarantee in a given billing cycle (as determined by us), you may request a service credit equal to 5% of your monthly hosting fee for that month. Service credits can only be applied toward future purchases or renewals with Blank Page.

The Service Uptime Guarantee does not apply to interruptions caused by: (1) scheduled maintenance or emergency hardware repairs; (2) custom coding, plugin errors, or third-party application failures caused by the client; (3) non-web outages (such as FTP or email delivery delays); (4) force majeure events; or (5) suspension due to non-payment.

7.2 No High-Risk or Mission-Critical Use Disclaimer:

The Services are not fault-tolerant and are not designed or intended for use in high-risk, mission-critical, or safety-critical environments (including emergency response systems, aviation control, nuclear facilities, or direct life-support infrastructure). Blank Page explicitly disclaims any express or implied warranty of fitness for high-risk activities.

8. THIRD PARTY SOFTWARE

Server environments run Linux® or Windows® operating systems and third-party control panel applications (such as Plesk, cPanel, or WHMCS). Third-party software is licensed, not sold, and may only be used as part of the Hosting Services. You may not reverse engineer, decompile, or export third-party software. Third-party software providers make no direct warranties and disclaim all liability arising from your use of their software.

9. FORCE MAJEURE & ISRAELI INFRASTRUCTURE CONTINGENCIES

Blank Page shall not be held liable or in breach of this Agreement for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to: acts of God, cyber warfare, state-sponsored cyberattacks, sabotage, power grid failures, submarine fiber-optic cable cuts, national emergencies, military conflict, armed hostilities, or official directives issued by the Israeli Ministry of Communications or National Cyber Directorate.

10. LIMITATION OF LIABILITY & INDEMNIFICATION

IN NO EVENT SHALL BLANK PAGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM:

  1. SERVICE INTERRUPTIONS: ANY CESSATION OR INTERRUPTION OF HOSTING SERVICES OR CLOUD INSTANCES.

  2. DATA LOSS: PERMANENT PURGING OR DESTRUCTION OF WEBSITE FILES, CLOUD VOLUMES, DATABASES, BACKUPS, OR COMPLIANCE LOGS FOLLOWING UNPAID SUSPENSIONS.

  3. BUSINESS & COMPLIANCE IMPACT: LOSS OF REVENUE, DONATIONS, BRAND REPUTATION, SEARCH ENGINE RANKING (SEO) PENALTIES, OR REGULATORY FINES (INCLUDING ACCESSIBILITY AND COOKIE CONSENT BREACHES) ARISING FROM SERVICE SUSPENSION OR TERMINATION.

You agree to defend, indemnify, and hold harmless Blank Page against any third-party claims, liabilities, damages, or legal costs arising from your breach of this Agreement, unauthorized ownership transfer attempts, or unlawful content hosted on your account.

11. GOVERNING LAW AND EXCLUSIVE JURISDICTION

THIS HOSTING AGREEMENT SHALL BE GOVERNED BY, CONSTRUED, AND ENFORCED EXCLUSIVELY IN ACCORDANCE WITH THE LAWS OF THE STATE OF ISRAEL, WITHOUT REGARD TO CONFLICT OF LAW PRINCIPLES. ANY LEGAL ACTION, DEMAND, SUIT, OR JUDICIAL PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT, HOSTING SERVICES, OR ACCOUNT DISPUTES SHALL BE BROUGHT EXCLUSIVELY BEFORE THE COMPETENT COURTS LOCATED IN TEL AVIV OR ASHDOD, ISRAEL. EACH PARTY IRREVOCABLY SUBMITS TO THE EXCLUSIVE JURISDICTION OF SUCH COURTS AND WAIVES ANY OBJECTION BASED ON IMPROPER VENUE OR FOREIGN FORUM.
